1. About these terms
These Terms of Service ("Terms") govern your access to and use of the emnode cloud cost management platform ("Services") provided through our website. By creating an account or using our Services, you agree to be bound by these Terms and our Privacy Policy.
The Services are intended for business use only. By creating an account, you confirm that you are acting in the course of your trade, business, or profession and not as a consumer.
If you are agreeing to these Terms on behalf of a business, you represent that you have the authority to bind that business to these Terms, and references to "you" mean that business.
If you do not agree to these Terms, you must not use our Services.
2. Who we are
We are Emnode Limited, a company registered in England and Wales (company number 16998774). Our registered office is Unit 19-20 Bourne Court, Southend Road, Woodford Green, IG8 8HD. You can contact us at [email protected].
3. The Services
Emnode is a cloud cost management platform provided as a hosted web application. It connects to your cloud accounts (AWS, Azure) via read-only access to provide cost visibility, budget tracking, spend forecasting, savings identification, and automated review agendas. The platform includes role-based views for finance, engineering, and leadership teams, workflows for planning and executing cost optimisations, and reporting dashboards.
We provide the Services on an "as is" basis and do not warrant that:
- your use of the Services will be uninterrupted or error-free;
- the Services will meet your specific requirements;
- the Services will be free from vulnerabilities or viruses; or
- the Services will comply with any of your cybersecurity requirements.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will give you reasonable notice of material changes where practicable.
4. Account registration and security
To use the Services, you must create an account and provide accurate, complete information. You must be at least 18 years old.
You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activities that occur under your account;
- ensuring that any users who access the Services through your account comply with these Terms; and
- notifying us immediately of any unauthorised access to your account.
The person who creates the account is deemed to be the authorised representative of the customer organisation. Actions taken by account administrators (including accepting changes to these Terms, upgrading or downgrading plans, and adding or removing users) are binding on the customer.
5. Cloud provider access
To use our Services, you must grant Emnode read-only access to your cloud provider accounts. You acknowledge that:
- you have the authority to grant this access;
- Emnode will only read billing and usage data — it will never modify your infrastructure, execute changes, or make decisions on your behalf;
- you remain responsible for all charges from your cloud providers; and
- you must comply with your cloud provider's terms of service.
6. Subscription and payment
Fees
The current fees for the Services are published on our pricing page. All fees are exclusive of VAT, which will be added at the applicable rate.
Billing
Fees are billed monthly in advance. On sign-up, you must provide valid credit or debit card details. We will charge your payment method automatically at the start of each billing period.
Free trials
We may offer a free trial period. At the end of the trial, your account will be deactivated unless you choose a paid plan. We will not charge your payment method without your active confirmation. Your data will be retained for 14 days after the trial ends, after which it may be deleted.
Refunds
Fees are non-refundable. If you cancel mid-billing period, you retain access until the end of that period but will not receive a partial refund.
Price changes
We may change our fees with at least 30 days' written notice before the start of your next billing period. If you do not agree to the new fees, you may cancel before they take effect.
Late payment
If we do not receive payment by the due date, we may charge interest at 4% per year above the Bank of England base rate, and we may suspend your access to the Services until payment is received.
7. Acceptable use
You must not:
- copy, modify, duplicate, create derivative works from, or distribute any part of the Services;
- reverse engineer, decompile, or disassemble any part of the Services;
- access the Services to build a competing product or service;
- grant access to the Services to any third party without our consent;
- access, store, distribute, or transmit viruses or any harmful or illegal material;
- introduce any vulnerability into our systems;
- use the Services for any unlawful purpose; or
- attempt to gain unauthorised access to the Services or our systems.
You must use all reasonable efforts to prevent unauthorised access to the Services and notify us immediately of any security incidents.
8. Suspension
We may suspend your access to the Services immediately and without notice if we reasonably believe that: you are in breach of these Terms; your use of the Services poses a security risk to us or any third party; or we are required to do so by law. We will notify you of the reason for suspension as soon as reasonably practicable, unless prevented by law from doing so. Suspension does not affect our right to terminate under these Terms.
9. Intellectual property
Our property
We (or our licensors) own all intellectual property rights in the Services. These Terms grant you a non-exclusive, non-transferable right to use the Services during your subscription. No other rights are granted.
Your data
You own all rights in the data you provide to Emnode ("Customer Data"). You grant us a licence to use, process, and store your Customer Data solely to provide the Services to you.
Feedback
If you provide us with suggestions, ideas, or feedback about the Services, you agree that we may use, copy, modify, and incorporate that feedback into the Services without any obligation to you. All feedback becomes our property.
10. Beta features
We may from time to time make new or experimental features available to you ("Beta Features"). Beta Features are provided "as is" without any warranty or service level commitment. We may modify or discontinue Beta Features at any time without notice. Our service level and support commitments do not apply to Beta Features. When a Beta Feature becomes generally available, the standard terms of these Terms will apply to it.
11. Data protection
We comply with UK GDPR and the Data Protection Act 2018. We will process personal data in accordance with our Privacy Policy. Where required by data protection law, we will enter into a separate Data Processing Agreement with you.
12. Data export and portability
During your subscription, you may export your Customer Data at any time through the platform. On termination of your subscription, we will make your Customer Data available for export for a period of 30 days. After that period, we will delete your Customer Data from our systems, unless we are required by law to retain it.
13. Support
Support is provided via email during UK business hours (Monday to Friday, 9am-5pm GMT). Support covers platform access issues, onboarding assistance, account configuration, and general usage queries. Support does not cover cloud infrastructure management, cost optimisation implementation, or changes to your cloud environment.
14. Service levels
We will use commercially reasonable efforts to make the Services available 24 hours a day, seven days a week. We aim for at least 99.5% availability during UK business hours (9am-5:30pm, Monday to Friday, excluding public holidays).
Planned maintenance will be carried out between 10pm and 2am UK time where possible. We will use reasonable efforts to give at least 1 business day's notice of unscheduled maintenance.
If we fail to meet this target, please contact us and we will investigate. We do not offer service credits at this time.
15. Confidentiality
Each party will keep confidential any information received from the other party that is marked as confidential or that would reasonably be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
The obligations in this section survive for 3 years after termination of these Terms.
16. Limitation of liability
Our total aggregate liability to you in connection with these Terms (whether in contract, tort, negligence, or otherwise) will not exceed the total fees paid by you in the 12 months preceding the claim.
We will not be liable for any indirect, consequential, or special losses, including loss of profit, loss of revenue, loss of data, loss of business opportunity, or loss of reputation.
Nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot be excluded or limited by law.
You are solely responsible for evaluating and implementing any cost optimisation recommendations. Emnode does not guarantee any specific savings or outcomes.
17. Termination
By you
You may cancel your subscription at any time through your account settings or by emailing us. Cancellation takes effect at the end of your current billing period. You will not be charged for subsequent periods.
By us
We may terminate your account immediately by written notice if you:
- fail to pay any amount due and remain in default for 14 days after notification;
- materially breach these Terms and fail to remedy the breach within 14 days of notification; or
- become insolvent or enter administration.
If we terminate your account without cause, we will refund any fees paid in advance for the unused portion of your subscription.
On termination
On termination, your right to use the Services ends immediately. Your Customer Data will be available for export for 30 days (see section 12).
18. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, war, terrorism, strikes, or failure of third-party services. If such an event continues for more than 45 days, either party may terminate these Terms with 30 days' written notice.
19. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by email or through the platform at least 30 days before they take effect. Your continued use of the Services after changes take effect constitutes acceptance. If you do not agree to the updated Terms, you may cancel your subscription before they take effect.
20. General
- Entire agreement: These Terms, together with our Privacy Policy and any Data Processing Agreement, constitute the entire agreement between you and Emnode.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver: Our failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights on notice to you.
- Third party rights: These Terms do not give any third party rights under the Contracts (Rights of Third Parties) Act 1999.
- Relationship: Nothing in these Terms creates a partnership, agency, or employment relationship.
21. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
